This English translation is provided for information only. In the event of any discrepancy, the French version prevails.
1. Scope
These General Terms of Sale (the “Terms of Sale”) govern the contractual relationship between the company ASLOT PARK (an SAS with share capital of €4,500, SIREN 102 825 361, SIRET 102 825 361 00011, VAT No. FR90102825361, RCS La Roche-sur-Yon, 151 Avenue de la Faye, 85270 Saint-Hilaire-de-Riez — hereinafter “ASLOT PARK”) and any business, local authority or legal entity (hereinafter “the Customer”) subscribing to ASLOT services.
Any subscription to ASLOT PARK’s services implies full and unreserved acceptance of these Terms of Sale. These Terms of Sale prevail over any other document of the Customer, unless expressly agreed otherwise in writing by ASLOT PARK.
These Terms of Sale apply exclusively to B2B relationships (between businesses). The right of withdrawal provided for by the French Consumer Code does not apply.
2. Services offered
ASLOT PARK offers a SaaS platform for managing bookings, online payment and automated access control for physical facilities (car parks, coworking spaces, public facilities, marinas, motorhome aires, etc.).
The services include in particular:
- provision of the online booking and payment platform;
- management and automation of access control;
- sending access codes by SMS and email;
- access to a management dashboard;
- technical support under the conditions specified in the contract.
The precise characteristics of the services, the arrangements for integration with the Customer’s equipment and the service levels are defined in the individual contract concluded between the parties.
3. Subscription and ordering
Subscription to ASLOT services follows a demo and the signing of a contract or quote between the Customer and ASLOT PARK. No service is activated without a formal contractual agreement.
Any request to change the order after signature must be the subject of a written amendment signed by both parties.
4. Prices and invoicing
Prices for ASLOT services are stated excluding VAT in the contract or quote signed by the Customer. The applicable VAT is the rate in force on the date of invoicing.
ASLOT PARK reserves the right to change its prices. Any price change is notified to the Customer at least 30 days before it takes effect. In the event of disagreement, the Customer may terminate its contract under the conditions set out in Article 6.
Invoices are issued at the frequency defined in the contract (monthly, annually or other). They are sent electronically.
5. Payment
Invoices are payable within the time limit stated on the invoice, and at the latest within 30 days of their issue, unless otherwise stipulated in the contract.
In the event of late payment, late payment penalties apply automatically, without prior formal notice, at the statutory interest rate in force plus 5 percentage points. A fixed recovery fee of €40 is also due in accordance with Article L.441-10 of the French Commercial Code.
ASLOT PARK reserves the right to suspend access to the services in the event of an unpaid invoice, after a formal notice has gone unheeded.
6. Term and termination
The term of the contract is specified in the contractual document signed between the parties. At the end of the initial period, the contract is tacitly renewed for successive periods of the same length, unless terminated by either party in compliance with the contractual notice period.
In the event of a serious breach not remedied within 15 days of formal notice, either party may terminate the contract with immediate effect, without prejudice to any damages.
Termination ends access to the services from its effective date. Sums due for the current period remain payable.
7. Obligations of the parties
ASLOT PARK’s obligations
- Provide the services under the conditions defined in the contract
- Ensure the maintenance and availability of the platform in line with the agreed levels
- Inform the Customer of any significant change affecting the services
Customer’s obligations
- Provide the information needed to set up the services
- Pay invoices within the agreed time limits
- Use the services in accordance with their intended purpose and the laws in force

8. Liability
ASLOT PARK undertakes to use all reasonable means to ensure the availability and quality of the services. Its obligation is an obligation of means (best endeavours).
ASLOT PARK cannot be held liable for indirect damage (loss of earnings, loss of data, commercial loss) resulting from the use of, or inability to use, the services, except in the event of gross negligence or wilful misconduct.
In the event of direct damage, ASLOT PARK’s liability is limited to the sums actually paid by the Customer during the 12 months preceding the event giving rise to the claim.
ASLOT PARK cannot be held responsible for malfunctions or limitations relating to the Customer’s third-party equipment or to telecommunications networks.
9. Personal data
As part of the contractual relationship, ASLOT PARK processes the data necessary to provide the service. Data processing is governed by ASLOT PARK’s Privacy Policy.
The Customer, as data controller for the data of its own users, is invited to ensure that its own use of the platform complies with the GDPR.
10. Governing law and jurisdiction
These Terms of Sale are governed by French law. In the event of a dispute relating to their formation, interpretation or performance, the parties agree to seek an amicable solution before taking any legal action.
Failing an amicable agreement within 30 days, the dispute will be submitted to the exclusive jurisdiction of the Commercial Court (Tribunal de Commerce) of La Roche-sur-Yon.
